1- Preamble

The Terms of Useand Legal Notice (Hereinafter: “Terms”) govern the access to and use of Complife’s Academy Platform (Hereinafter the “Platform”), including the purchase anddelivery of courses.
By accessing and/orusing this Platform, you acknowledge that you have read, understood andexpressly accepted these Terms in their entirety. You also agree to comply withall applicable laws and regulations.
These Termsapply to all individuals and entities interacting with the Platform, including,without limitation, users who register for services, purchase educational products, download materials, or enrol in training programmes, webinars, orcourses offered through the Platform.
These Terms also apply to person acting on behalf of a company or other legal entity in connection with such activities.
The materials contained in this website are protected by applicable copyright and trademark law.

2- Definitions
For the purposes of this document, the following terms shall have the meanings set out below:
Content: means educational materials, including videos, documents, and webinars;
Services: courses, master programs, training activities, and educational consulting.

3- Complife Academy

3.1- Description of Services
Complife Academyis the professional training division of Complife Group (hereinafter “Complife”), dedicated to continuing professional development within the Health and Personal Care sector.
Complife Academy provides structured training programmes, interactive webinars, and tailored in-housecourses for professionals operating in the cosmetics, nutraceutical, andmedical device industries.
Delivered byleading industry experts, these courses are designed to provide up-to-date technical and regulatory knowledge essential for ensuring compliance with current legislation and industry standards.
All training activities are provided exclusively for educational and informational purposesand are intended to support professional and companies in staying informed about the latest legal and regulatory developments and requirements.

3.2- TrainingCatalogue and Programme updates
The full and up-to-datetraining catalogue is available for download on the Platform.
Complife reserves the right, at any time, to update, modify, supplement or remove anycourses or programmes included in the training catalogue in response to organizational, operational, or commercial, regulatory, scientific, or market developments.
The catalogue published on this Platform is for information purposes only and shall not beconsidered binding. Unless otherwise specified, any such changes shall not affect courses already purchased or currently in progress. 

4-Registration, Accounts and User obligations
Access to the Services provided through the Platform requires the creation of a personalaccount.
When registering, you agree to provide information that is accurate, complete, andkept up to date at all times during you use of the Service. You are solelyresponsible for maintaining the confidentiality and security of your logincredentials and must not disclose them to any third-party o allow anyunauthorised access to or use of your account. You may not assign, transfer, orshare your account with any other person.
Complifereserves the right to suspend or terminate your account at its sole discretionin the event of any breach of these Terms, misuse of the Platform, or suspectedfraudulent activity.
Where anorganisation registers multiple participants or purchases training services onbehalf of its employees or collaborators, the individual completing theregistration shall ensure that all participants are made aware of, and complywith, these Terms.

5- Payments

5.1 Paymentsand activation of the services
The purchase ofthe courses available on the Platform shall be made by advance payment throughthe methods indicated on the Platform, including bank transfer, credit card,and Paypal.
Uponconfirmation of payment, the system shall proceed with the activation of yourpersonal account and the unlocking of the purchased course, making itimmediately accessible in digital format.
Unless otherwisestated on the individual course page, the access to the training content shallbe granted for a period of six(6) months commencing from the date of purchase.
Upon expiry ofsuch period, access to the course and related materials may be suspended ordeactivated without any further notice being required.  

5.2 Trainingperiod and certificate of completion
You mustcomplete the training programme within the applicable access period for therelevant course, as specified on the course page or in these Terms.
Completion ofthe training within such period shall constitute a necessary condition for theissuance of any certificate or statement of course completion, whereapplicable.
If the trainingprogramme is not completed before expiry of the access period, you may lose theright to obtain the relevant certificate or statement of completion.

5.3 Exclusionof the right of withdrawal and refunds
Due to thedigital nature of the services provided and the immediate availability of thecourse content upon payment, you expressly acknowledge and agree thatperformance of the services begin immediately upon purchase.
Accordingly,once payment has been completed and access to the course has been granted, nofull or partial refunds shall be issued.

6- Mutualrepresentation
By using thePlatform, you represent and warrant that you have the legal capacity andauthority to enter into these Terms and to comply with the obligations set outherein.

7-IntellectualProperty Rights
All contentavailable on the Platform and in connection with Complife Academy services isprotected by intellectual property law.
All rights,title, and interest in and to the Platform and its content, including, but notlimited to the trademarks, logos, images, illustrations, videos, audio,recording, technical documentation, course materials, software and tools, areand shall remain the exclusive property of Complife or its licensors.
Nothing in theseTerms grants the user any ownership right, licence or other interest in thePlatform or its content beyond the limited of personal use.
Materials provided toparticipants during the course are licensed exclusively for the personaleducational use of the registered and attending participant.
These materials may not bereproduced, distributed, resold or shared, without the prior written consent ofComplife Italia S.r.l.
Any breach ofthe intellectual property provisions in this section may give rise to civil andcriminal liability under applicable Italian, European, and international law.Complife reserves the right to pursue all available legal remedies in the eventof infringement.
Complife shallnot be held responsible for intellectual property violations resulting from theacts of users or third parties, nor for content contributed by users thatinfringes the rights of others. Liability for such infringement liesexclusively with the Party committing it.

8- Permitteduse
You may access,consult, and view the content of the Platform solely for your personal,non-commercial use. You are authorised to use the materials made availablethrough the Platform exclusively for educational and study purposes.
This is thegrant of a licence, not a transfer of title. Under this license, you may not:
-       Share, distribute or otherwisemake available to any third-party, in whole or in part, any content of thePlatform;
-       Publish or republish anycontent on any other website, application, or digital platform;
-       Modify, adapt, translate orcreate derivative works based on the Platform content;
-       Use any content for commercialpurposes or in connection with services offered to third parties;
-       Remove, alter or conceal anycopyright notices, trademarks, logos, or other proprietary rights notices.

9- Disclaimer
The materials made available on Complife’sAcademy Platform are provided on an “as is” basis. Complife makes norepresentations or warranties, whether express or implied, and, to the fullestextent permitted by applicable law, expressly disclaims all other warranties,including, without limitation, any implied warranties of merchantability,fitness for a particular purpose, and non-infringement of intellectual propertyrights or other third-party rights.
Complife does not warrant that the materialspublished on the Platform are accurate, reliable, complete, or suitable for anyspecific purpose, nor that their use will produce any particular result. Thesame applies to any content made available through third-party websites linkedto or from the Platform.
If you require specific regulatory, scientific,legal, or technical advice, you are strongly encouraged to contact Complifedirectly or seek advice from appropriately qualified professionals. To thefullest extent permitted by applicable law, Complife accepts no liability forany decisions, actions, or omissions taken in reliance on information madeavailable through the Platform.

10-Limitation of liability
In no eventshall Complife, its affiliates, directors, employees, agents, or suppliers beliable for any direct, indirect, incidental, consequential, special, orpunitive damages, including, without limitation, loss of data, loss of profits,business interruption, or loss of business opportunities, arising out of or inconnection with the use of, or inability to use, the Platform or the materialscontained therein, even if Complife has been advised of the possibility o suchdamages.
Nothing in theseTerms shall exclude or limit liability where such exclusion or limitation isprohibited under applicable law. To the extent certain jurisdictions do notallow the exclusion of implied warranties or the limitation of liability forconsequential or incidental damages, some of the above limitations may notapply.

11-Amendments
Complifereserves the right to amend these Terms and Conditions at any time. AmendedTerms will be published on the Platform with and updated “Last updated” date.Where changes are material, Complife will endeavour to provide advance noticeto registered users via email or a notice on the Platform.

12- Forcemajeure
Neither Partyshall be liable for any failure or delay in performing its obligations due to aForce Majeure Event beyond its reasonable control, including but not limited tonatural disasters, war, terrorism, strikes, pandemics, or government actions.
 The affected Party shall notify the otherParty promptly in writing. Performance shall be suspended for the duration ofthe Force Majeure Event.
If the ForceMajeure Event continues formore than one (1) month, either Party may terminate this Agreementwithout liability upon written notice.

13- Waiver
Complife’sfailure or delay in exercising any right or remedy under these Terms shall notbe deemed a waiver of such right or remedy, nor shall it prevent the Companyfrom exercising the same at any subsequent time.

14-Severability
If any provisionof these Terms is found to be void, ineffective or unenforceable underapplicable law or by a final judicial ruling, the remaining provisions shallremain in full force and effect. The void or unenforceable provision shall bereplaced, where possible, by a valid provision that most closely reflects theoriginal intent of the Parties.

15- Entireagreement
These Terms,together with the Privacy Policy, Cookie Policy and any other policy orguideline relating to this Platform, constitute the entire agreement betweenthe Parties with respect to the subject matter hereof, and supersede all prioragreements, proposals, understandings or communications, whether oral orwritten, relating to the same subject matter.

16- GoverningLaw, Jurisdiction and Dispute resolution
These Termsshall be governed by and construed in accordance with the laws of Italy.
In the event ofany dispute, controversy, or claim arising out of or in connection with theseTerms, the Parties shall first attempt in good faith to resolve the matteramicably through negotiations.
If the disputeis not resolved amicably within thirty (30) days from the date on which oneParty notifies the other Party of the dispute in writing, the dispute shall besubject to the exclusive jurisdiction of the courts of Milan, Italy.

17-Complaints
If you intend tosubmit a complaint regarding the Services, the Platform, or any training courseprovided by Complife, you must contact us at the following email address: info@complifegroup.com.
You shallprovide complete and accurate information relating to the complaint and shallcooperate in good faith with any request for further information orclarification.
Followingreceipt of a complaint, Complife shall use all reasonable efforts toinvestigate the matter and respond without undue delay.
Nothing in thisclause shall affect any statutory rights available to you under applicable law.
